Merger of the CHIRON Werke GmbH & Co. KG to the CHIRON Group SE

Dear business partners,

we are continuously working to improve our market access, our efficiency and the business processes agreed upon for our suppliers and customers. Therefore we are pooling our activities and merging our company

• CHIRON Werke GmbH & Co. KG, Kreuzstraße 75, 78532 Tuttlingen, Germany

with effect from 27/11/2020 (date of entry into the Commercial Register) to the parent company

• CHIRON Group SE, Kreuzstraße 75, 78532 Tuttlingen, Germany.

Existing contracts are transferred to CHIRON Group SE upon entry in the Commercial Register in the course of universal succession. With regard to future contracts, we refer to the General Terms and Conditions of CHIRON Group SE (in particular Terms and Conditions of Purchase, Terms of Delivery and Payment, Terms and Conditions of Assembly and Payment).

What changes for you?

• From 01/12/2020 you will receive orders only from:
  CHIRON Group SE, Kreuzstraße 75, 78532 Tuttlingen, Germany
  Commercial Register: Local Court of Stuttgart, HRB 750831
  Tax No.: 21060/52168
  VAT ID No.: DE142929767
• The orders can concern different locations of the CHIRON Group SE. Therefore, please always pay attention to the specified delivery address!
• Please issue your invoices dated 01/12/2020 or later only to CHIRON Group SE (address see above).
• The Terms and Conditions of Purchase of CHIRON Group SE apply.

The presence of the CHIRON Group with its brands CHIRON, STAMA, CMS and FACTORY5 is not affected by this.
